Acceptance of Terms
By accessing or using Gatefund (the "Service"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you may not use the Service. These Terms form a legally binding agreement between you (the "User") and Gatefund (the "Company").
Description of Service
Gatefund is a software-as-a-service platform that provides fundraising customer relationship management, cap table management, investor relations reporting, and related tools for startup founders and teams. The Service is accessed through a web interface and delivered on a subscription basis. Features and functionality may evolve over time at the Company's discretion.
User Accounts & Workspaces
To use the Service you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Accounts are organized into workspaces. Workspace owners may invite members and guests with role-based permissions (owner, admin, editor, viewer). You must notify us immediately of any unauthorized access.
Subscriptions & Billing
Gatefund offers Free, Growth, and Pro plans with monthly or yearly billing cycles. Paid subscriptions renew automatically at the end of each billing period unless canceled. Fees are charged via Stripe in euros. Upgrades take effect immediately with prorated billing. Downgrades take effect at the end of the current period. Refunds are provided only where required by law. A 60-day free trial is available for the Growth plan; no credit card is required for the Free plan.
Data & Content Ownership
You retain ownership of all content and data you upload to the Service, including investor contacts, cap table data, reports, and documents. You grant the Company a limited, non-exclusive license to process, store, and display your data solely as required to operate the Service. The Company will not sell or share your content with third parties except as required to deliver the Service (for example, hosting providers) or as required by law.
Intellectual Property
All intellectual property rights in the Service — including source code, designs, trademarks, logos, templates, and documentation — are and remain the exclusive property of the Company. These Terms do not grant you any right to use our trademarks, logos, or brand features without prior written consent.
Prohibited Uses
You agree not to (a) use the Service for any illegal purpose or in violation of any law; (b) send spam, unsolicited bulk email, or phishing content through the Service; (c) attempt to gain unauthorized access to other accounts, workspaces, or systems; (d) reverse-engineer, decompile, or attempt to extract the source code; (e) upload malware, viruses, or harmful code; (f) abuse, harass, or threaten other users; (g) resell or sublicense the Service without written authorization.
Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, or business interruption — arising from or relating to your use of the Service. The Company's total aggregate liability shall not exceed the amount paid by you for the Service during the twelve (12) months preceding the event giving rise to the claim.
Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. The Company does not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses.
Termination
You may cancel your subscription and delete your account at any time from Settings > Danger Zone. The Company may suspend or terminate your access to the Service if you breach these Terms or for any other reason with reasonable notice. Upon termination, your data will be deleted after a 30-day grace period during which you can export your data.
Changes to Terms
The Company may update these Terms from time to time. Material changes will be notified by email or via the Service at least thirty (30) days before they take effect. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service and may request account deletion.
Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of France, without regard to conflict-of-law principles. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Paris, France, subject to any mandatory consumer protection laws in your jurisdiction.
